States File Injunction to Stall Paramount Warner Bros Deal

California and ↓ 11 additional states filed a motion Monday seeking a temporary restraining order to halt the Paramount Warner Bros deal. The request asks a federal judge to issue a preliminary injunction by July 22, the deadline set for the merger’s closing.

The states argue the transaction would concentrate market power in film and streaming, violating antitrust law. Reuters reported that the complaint cites reduced competition for independent producers and higher subscription prices for consumers.

“The merger threatens to reshape the entertainment market in ways that harm both creators and viewers,” said a lead attorney for the coalition.

The defendants, Paramount and Warner Bros. Discovery, have urged the court to reject the injunction, contending the deal complies with existing regulations. Bloomberg noted that the companies have offered to cooperate with any DOJ review but maintain the merger is “pro‑competitive.”

Should the court grant the restraining order, the parties must pause all integration activities pending a full antitrust trial, potentially delaying a deal valued at over $30 billion.
