The Paramount Warner merger, valued at ↓ $81 billion, has been slapped with a lawsuit by twelve U.S. states accusing it of wiping out competition and throttling consumer choice. California Attorney General Rob Bonta told reporters that “audiences on every sofa and in every theater seat will feel the impact of this unlawful merger,” warning of higher prices, fewer titles and a dip in content quality.

Paramount Warner merger faces multistate antitrust suit

The complaint argues that combining two of the five remaining legacy studios would give the new entity control over roughly one‑third of theatrical distribution and basic‑cable programming, threatening theatres and cable operators alike. Paramount maintains the deal would create a robust rival to streaming giants and tech behemoths, while Warner declined to comment. The states seek a temporary restraining order and ask the courts to halt the transaction until the litigation concludes.

“A massive company with unprecedented power over news and entertainment worldwide,”

warned New York Attorney General Letitia James, adding that jobs and small businesses are at stake. Industry guilds, including the Writers Guild of America, have voiced unequivocal opposition, citing potential cuts to wages and programming diversity. The merger also carries a ↓ $7 billion regulatory termination fee and a “ticking fee” of 25 cents per share for each quarter past Sept. 30 if the deal stalls. Beyond the United States, Paramount cites clearances in China, Canada and Australia, while reviews continue in the EU and the U.K. The deal, approved by shareholders in April and cleared by the Trump administration last month, was slated for a third‑quarter close, but the new lawsuit could push the timeline further.
